Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the Prometheus website, applications, APIs and data (together, the “Service”), operated by Prometheus Finance (“Prometheus”, “we”, “us”).

By creating an account, accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally able to enter into a contract. If you are using the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and “you” means that organisation.

The Service is provided in an early, pre-release state. It is under active development and parts of it are experimental. This means, without limitation:

• features may change, break, or be removed without notice;
• data coverage is incomplete and may be inaccurate or out of date;
• some analytical outputs are previews computed on limited or curated coverage rather than the full universe, and are labelled as such within the product;
• we do not guarantee any level of availability, uptime, or support; and
• we may reset, migrate, or delete data during development.

You should not use the Service as a system of record, nor build a production dependency on it, during the beta period.

We are not a registered investment adviser, broker-dealer, exempt market dealer, or portfolio manager in Canada or any other jurisdiction, and we do not provide personalised financial, legal, accounting or tax advice.

The Service produces derived and probabilistic outputs — including narrative metrics, statistical validation results, credibility scores, forecasts and scenario simulations. These are estimates generated from historical data using automated and machine-learning methods. They carry uncertainty, may contain errors, and past relationships in data do not predict future results. Effect sizes, confidence intervals and significance measures shown in the product describe the historical sample tested; they are not guarantees about the future.

You are solely responsible for your own investment decisions and for evaluating the merits and risks of any transaction. You should obtain independent professional advice before acting on any information obtained from the Service.

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at [security@DOMAIN] if you suspect unauthorised access.

Accounts are for a single named user. You may not share, sell, or transfer your account or credentials.

The Service may be offered on free and paid plans. Paid plans are billed through our payment processor, Stripe. By subscribing, you authorise us and Stripe to charge your payment method on a recurring basis for the plan you select, until you cancel.

• Fees are stated at the point of purchase and are exclusive of applicable taxes unless stated otherwise.
• Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
• You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then.
• Except where required by law, fees already paid are non-refundable, and we do not provide pro-rated refunds for partial periods.
• We may change pricing on notice; changes take effect at your next renewal.

We do not store your full payment card details. Card data is handled directly by Stripe. See the Privacy Policy for what we do store.

You agree not to:

• scrape, crawl, harvest, or bulk-extract data from the Service by automated means except through an API we expressly provide, and within its published limits;
• resell, redistribute, sublicense, or make the Service or its outputs available to third parties as a substitute for them obtaining their own access;
• reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service, except to the extent this restriction is prohibited by law;
• circumvent authentication, rate limits, usage quotas, or any technical measure that protects the Service;
• use the Service to build or train a competing product, dataset, or machine-learning model;
• interfere with or disrupt the integrity or performance of the Service, or probe or scan its infrastructure without our prior written consent;
• use the Service for unlawful purposes, including market manipulation, insider dealing, or any breach of securities law; or
• misrepresent the outputs of the Service as independently verified fact, or strip them of the caveats, confidence measures, and evidence links with which they are presented.

Our content. The Service, and all software, models, derived datasets, narrative and causal-graph structures, metrics, scores, text, and design contained in it, are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal research purposes.

Underlying source documents (such as regulatory filings and earnings-call transcripts) originate from third parties and remain subject to their own rights and terms; see Section 8.

Your content. You retain ownership of the content you create in the Service, such as watchlists and saved workspaces. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and process that content solely to operate and improve the Service and to provide it to you.

Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.

The Service incorporates information derived from third-party and public sources, including securities regulators’ filing systems, earnings-call transcript providers, market data providers, and public economic and statistical agencies. We do not control these sources, we do not independently audit them, and we are not responsible for their accuracy, completeness, timeliness, or availability.

The Service also relies on third-party infrastructure and processors, including Amazon Web Services (hosting, authentication and storage), Stripe (payments) and Vercel (application hosting). Your use of the Service is also subject to their terms where applicable.

Where the Service quotes or links to source documents, those documents remain the property of their respective owners and are surfaced for verification and research purposes.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties or conditions of any kind, whether express, implied, statutory or otherwise.

We specifically disclaim all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free; that any data, metric, statistical result, score or forecast is accurate, complete, current, or fit for any purpose; or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties. Where a warranty cannot lawfully be excluded, it is limited, to the extent permitted, to the re-supply of the Service or the cost of re-supply.

To the maximum extent permitted by law, Prometheus and its directors, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, trading losses, investment losses, goodwill, data, or business opportunity, arising out of or related to your use of (or inability to use) the Service, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) one hundred Canadian dollars (CAD $100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

You acknowledge that the disclaimers and limitations in this section are a fundamental basis of the bargain between us, and that we would not provide the Service without them.

You will indemnify and hold harmless Prometheus and its directors, officers, employees and suppliers from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Service; (b) your breach of these Terms or of any applicable law; or (c) your infringement of any third-party right.

You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or if we discontinue the Service.

On termination, your licence to use the Service ends. Sections that by their nature should survive — including Not investment advice, Our content and your content, Disclaimers, Limitation of liability, Indemnity and Governing law — survive termination.

We will handle your personal information after termination as described in the Privacy Policy.

We may modify the Service at any time. We may also update these Terms; if we make material changes, we will take reasonable steps to notify you, such as by email or an in-product notice, before they take effect. The “Effective” date at the top of this page shows when these Terms were last updated.

Continuing to use the Service after changes take effect means you accept the updated Terms. If you do not accept them, you must stop using the Service.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules.

You and we agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or relating to these Terms or the Service, and each party waives any objection to venue in those courts.

If you are a consumer, nothing in this section deprives you of the protection of mandatory consumer-protection provisions of the law of the place where you reside, including any right to bring proceedings in your local courts.

If any provision of these Terms is found unenforceable, it will be severed and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it.
